BDC Compliance: Navigating a Specialist Talent Market

Daniela Garcia explores why BDC compliance searches prove challenging, as firms look for registered-funds governance and private-credit experience that has historically sat in two separate talent pools.

The pool of experienced BDC compliance talent is relatively small, but scarcity alone does not explain why these searches can prove challenging.

We have seen an increase in mandates across BDC and private-credit compliance, with the same questions coming up repeatedly: where does the relevant talent sit, how transferable are adjacent backgrounds, and how much flexibility is there on location?

Through our work on these searches and broader mapping of the U.S. market, one challenge has become increasingly clear: firms are often looking for a combination of registered-funds governance and private-credit experience that has historically developed across two adjacent talent pools.

While ‘40 Act + private credit’ can sound like a relatively straightforward brief. In practice, the underlying experience can look quite different:

A registered-funds compliance professional may bring Rule 38a-1, board reporting, annual reviews and affiliated-transaction analysis. A private-credit compliance professional may bring deeper familiarity with the underlying assets, deal teams, MNPI, allocations and illiquid investments.

The overlap exists. The question is how large that population really is, and how much of the requirement genuinely needs to be present on day one?

Not every gap carries the same risk

For hiring teams, it can be useful to separate the capabilities that are genuinely non-negotiable from those that can be developed with the right support.

Registered-fund architecture may be more readily developed where an established CCO already owns the board relationship and can provide appropriate oversight. Judgment around the underlying credit asset, and credibility with investment professionals can take longer to build.

Conversely, if the hire will directly own the registered-fund compliance program and board relationship, prior fund-governance experience becomes more important.

Rather than asking whether every candidate already has the complete profile, a more useful question may be: Which part of the role genuinely needs to be plug-and-play?

Location may be a role-design question

Geography introduces another layer: Our mapping of the 40 largest U.S. BDCs shows a significant concentration in New York – 21 are managed from the city, accounting for approximately 70% of total assets across the group. The broader market is more distributed, with relevant platforms and talent across Los Angeles, the Bay Area, Boston, Chicago and other financial centers.

But where a compliance professional needs to sit may depend on what they are being hired to do.

A desk-facing role providing real-time advice to portfolio managers and deal teams may benefit significantly from proximity to the investment team. Fund governance operates on a different cadence and can potentially offer greater flexibility.

For roles combining both, defining which part of the mandate drives the location requirement before going to market can materially change the available talent pool.

The candidate proposition matters

Given the specialist nature of the talent pool, market dynamics can favor candidates, with the most relevant profiles often having considerable choice when considering a move.

Many professionals with the right experience are already well positioned at established platforms and are not actively looking to move. Reaching this population requires a compelling reason to engage, not simply a strong firm or recognizable brand.

The decision may instead come down to scope, leadership, progression and whether the opportunity represents a genuine step forward rather than a step across.

That changes the candidate conversation: brand and compensation remain important, but hiring teams also need to articulate why an already well-positioned compliance professional should take the call in the first place.

Process can become part of the competition

The same dynamics apply once a candidate engages. In a relatively small market, relevant candidates may be in several conversations at the same time. Our experience suggests that long gaps between stages can allow competing processes to move materially further ahead.

This does not mean compromising assessment. It means aligning stakeholders, agreeing areas of flexibility and designing the interview process before approaching the market.

For specialist talent, the hiring process itself becomes part of the candidate experience – and potentially part of the competitive proposition.

Calibrating the brief to the market

There is relevant BDC compliance talent in the market. What appears more limited is the population combining registered-funds governance, private-credit fluency, investment-team credibility and meaningful program ownership at the required level and location.

That makes calibration important: where the ideal profile is difficult to access, firms may need to consider flexibility around location, accept a learning curve on one element of the mandate, or create sufficient scope and economics to motivate someone already well positioned.

The opportunity is not necessarily to lower the bar. It is to be more precise about where the bar needs to be.
