The Role
You will serve as a key legal adviser to the Treasury function, taking ownership of matters including:
- Debt and equity offerings
- Rule 144A and other private capital-markets transactions
- Credit facilities and letters of credit
- Liquidity and capital solutions
- Funding agreement-backed products
- Intercompany lending arrangements
- Repurchase and reverse-repurchase transactions
- Derivatives and other treasury matters
- Corporate governance and securities-law disclosure requirements
You will draft and negotiate offering documents, purchase agreements, term sheets, engagement letters, legal opinions and related transaction documentation. And, coordinate cross-functional stakeholders and manage external counsel where appropriate.
Ideal Profile
- JD / US Qualified Attorney
- 5-8+ years of legal experience focused on capital markets, corporate finance or treasury matters
- Training from a leading law firm, financial institution, insurer or reinsurer
- Strong debt-capital-markets and securities transaction experience
- Experience drafting and negotiating complex financing documentation
- The ability to independently manage transactions from structuring through closing
- Commercial judgment and confidence advising senior business stakeholders
- A hands-on, collaborative approach and the ability to manage competing priorities
- Experience with insurance-capital solutions, funding agreement-backed products, surplus notes, repurchase transactions or derivatives would be advantageous but is not essential.
